Last updated: January 24, 2026

1. Agreement and Scope

These Terms of Service (“Terms”) govern your use of the website vertexdigitalsystems.net and any services provided by Vertex Digital Systems LLC (“Vertex,” “we,” “us,” or “our”), a Wyoming limited liability company with its principal place of business at 30 N Gould St Ste R, Sheridan, WY 82801, USA. By accessing our website or using our services, you agree to be bound by these Terms. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization. Specific engagements may be subject to separate written agreements (e.g. master services agreement, statement of work, or order form) that supplement or supersede these Terms to the extent of any conflict.

2. Description of Services

Vertex provides managed IT support, cloud infrastructure, cybersecurity, monitoring, and related technology services to businesses in the United States and elsewhere. The scope, deliverables, and terms of any particular engagement are defined in the applicable statement of work, order form, or service agreement. We do not guarantee that our services will meet every specific requirement or that operation will be uninterrupted or error-free. Services are provided on an “as is” basis except where expressly stated otherwise in a written agreement.

3. Use of the Website

You may use our website only for lawful purposes and in accordance with these Terms. You agree not to use the website in any way that could damage, disable, or impair our systems or networks, or that could interfere with any other party’s use of the website. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You must notify us promptly of any unauthorized use.

Content on our website (including text, graphics, and logos) is owned by Vertex or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

4. Payment and Billing

Fees for services are as set forth in the applicable agreement or order. You agree to pay all amounts due in accordance with the payment terms specified. We may use third-party payment processors (such as Stripe) to process payments; your use of such services is subject to the processor’s terms. We reserve the right to suspend or terminate services for non-payment. We do not guarantee any particular payment method or processor availability.

Unless otherwise agreed in writing, fees are non-refundable except as set out in our Refund Policy. We may change fees for future renewals or new engagements upon reasonable notice where permitted by the applicable agreement.

5. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to our website or services. We may modify, suspend, or discontinue any part of our website or services with or without notice where we deem it necessary. We are not liable to you or any third party for any modification, suspension, or discontinuation.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Vertex and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of our website or services, even if advised of the possibility of such damages.

Our total liability for any claims arising out of or related to these Terms or the services, whether in contract, tort, or otherwise, shall not exceed the amount paid by you to Vertex in the twelve (12) months preceding the claim. Some U.S. states and other jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vertex and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our website or services, your violation of these Terms, or your violation of any third-party rights.

8. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or our services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

9. General Provisions

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. We may assign our rights and obligations under these Terms; you may not assign without our prior written consent. These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service agreement, constitute the entire agreement between you and Vertex regarding the subject matter hereof.

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Your continued use of our website or services after such changes constitutes acceptance of the revised Terms.
